Spartan To Acquire Smeal

CHARLOTTE, Mich., Dec. 13, 2016 /PRNewswire/ -- Spartan Motors, Inc. (NASDAQ: SPAR) ("Spartan" or the "Company"), a global leader in specialty chassis and vehicle design, manufacturing, and assembly, today announced its wholly-owned subsidiary, Spartan Motors USA, Inc., has entered into a definitive agreement to acquire Smeal Fire Apparatus Co. ("Smeal"), an industry-leading innovator and manufacturer of fire apparatus in North America, and its subsidiaries for $36.3 million, subject to certain net working capital adjustments, the Company's forgiveness of certain liabilities owed by Smeal to the Company, and a subsequent tax gross-up payment, which is expected to be more than offset by tax benefits accruing to the Company. The acquisition will enable Spartan Motors to strengthen its Emergency Response business, gain scale and geographic reach in the industry, and accelerate its Emergency Response business unit turnaround plan. The transaction is expected to close in January 2017, subject to customary closing conditions.


Smeal is expected to generate 2016 revenues of approximately $100 million, which includes approximately $30 million of Spartan chassis sold to Smeal.  The newly combined Spartan Emergency Response business unit will rank as one of the top-four North American fire apparatus manufacturers and will be well positioned, in an increasingly consolidating industry, to provide a robust and respected portfolio of leading products, services, and technologies. Today, Spartan's Emergency Response business unit engineers and builds fire truck cabs and chassis for many of the industry's leading original equipment manufacturers (OEMs), including Smeal, as well as designs and manufactures complete fire apparatus. The acquisition of Smeal is a logical next step in the longstanding relationship between the two companies, which spans more than 30 years.

It will be interesting to watch.  I was told 30 years ago that there will be no more small apparatus manufacturers in the next 10 years and then there was ALF. Yes it was poor management but away went Becker, RD Murray and 3-D. Then there was PenFab from years ago that took Hahn head on and decided to just do a chassis and cut down on overhead with the engineering etc. they stayed around for 35 years. Then Howe and Oren became Grumman and they are gone.

The trick isn't getting bigger to grow more profit it really comes down to good communications between the truck committee and the salesman. Then the salesman has to have a consistent contact at the plant to transfer the committees thoughts to engineering get it on paper and an engineered drawing. Then do the process all over with the committee to see if it is laid out they way they want it and then back to engineering.

So it sometimes comes down to the personal within the organization to make things grow which will lead to the quality of the product.

They are both  good products so you just have to wish them well and keep your fingers crossed.

What I worry about happening is that they stop selling chassis to the smaller manufacturers that don't have their own custom chassis and rely on Spartan. Although I don't see that happening because with the amount of chassis they sell, it's probably a good source of income as well.

 

Also, didn't Spartan ERV start out with buying Luverne and General, merged them, and created the Crimson brand, later renamed Spartan ERV.

 

I wonder how many people are going to lose jobs with this, both manufacturers overlap each other and it's inevitable. I also wonder if any dealers will be affected?

Spartan purchase Quality and Luverne which became Luverne and Shirley then Crimson and ERV.

While the consolidation trend continues, this has both good and bad aspects.  E-One & KME are owned now by the same group, so it will be interesting to see how all this shapes out.   If anything, healthy competition is good, but certainly hope folks don't lose their jobs.

Not sure what to make of this. They now have 3 aerial lines plus the snorkel product now, something will have to give. What about Smeals' partnership with Ferrara? Maybe Ferrara is next to come into the fold or will they buy some one of the aerial designs (I highly doubt it).

I was thinking the same thing. But Smeal has been selling other manufacturer's aerial products for a long time. For instance, at one time Smeal built all the aerials for Pierce. 

 

Also, the LTI (now owned by Smeal) Aerial factory and the Spartan ERV aerial factory are literally right next to each other in PA, and Smeal also makes their branded ladders at their main facility in Nebraska. And now Smeal's LTC/LTI division owns both the Telesquirt and Snorkel brands.
